1. About Kenehis Innovation Limited

Kenehis Innovation Limited ((“Kenehis”, “Kenehis Innovation”, “we”, “our”, or “us”) is an importation, sourcing, procurement, and logistics company based in Port Harcourt, Nigeria. Our Platform connects buyers with independent third-party vendors offering goods and services sourced locally and internationally.

2. Definitions

• Platform – The Kenehis Innovation Limited website and all related services
• User – Any person accessing or using the Platform
• Buyer – A User purchasing goods or services
• Vendor – An independent seller offering goods or services through the Platform
• Order – A confirmed purchase made on the Platform

3. Eligibility & Account Registration

• You must be at least 18 years old to use this Platform
• You agree to provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account login details
• You are responsible for all activities carried out under your account

We reserve the right to suspend or terminate accounts that provide false or misleading information.

4. Marketplace Role & Limitation of Liability

Kenehis Innovation Limited operates as a marketplace facilitator and logistics/intermediary service provider. Unless explicitly stated:

• We do not own or manufacture products listed by Vendors
• Vendors are solely responsible for product descriptions, quality, pricing, warranties, and legality
• Contracts for sale are formed directly between Buyers and Vendors

Kenehis Innovation is not liable for vendor actions, omissions, or product defects, except as required by law.

5. Orders & Payments

• All prices are displayed in Nigerian Naira (₦) or other applicable currencies
• Orders are confirmed only after successful payment
• Payments are processed via secure third-party payment gateways
• Kenehis Innovation does not store card or banking details

We reserve the right to cancel or refuse any order suspected of fraud or policy violations.

6. Importation, Shipping & Delivery

• Delivery timelines vary based on product type, vendor location, and importation requirements
• International shipments may be subject to customs duties, taxes, and clearance delays
• Buyers are responsible for applicable import duties unless otherwise stated
• Estimated delivery times are not guaranteed

Delays caused by customs, logistics partners, force majeure, or regulatory authorities are not the responsibility of Kenehis Innovation.

7. Returns, Refunds & Disputes

Returns and refunds are governed by our Returns & Refund Policy, which forms part of these Terms.

• Refund eligibility depends on vendor policies and product category
• Disputes between Buyers and Vendors may be mediated by Kenehis Innovation but do not guarantee a resolution
• Refunds, where approved, are processed to the original payment method

8. Vendor Obligations

Vendors agree to:

• Provide accurate product descriptions and lawful goods
• Comply with Nigerian and international trade laws
• Fulfill orders promptly and professionally
• Maintain appropriate customer service standards
• Protect customer data in accordance with applicable data protection laws

We reserve the right to suspend or remove Vendors who violate these Terms.

9. Prohibited Activities

Users must not:

• Use the Platform for unlawful or fraudulent activities
• Post false, misleading, or deceptive content
• Attempt to bypass payment systems
• Interfere with Platform security or functionality
• Infringe on intellectual property rights

Violations may result in account suspension, termination, or legal action.

10. Intellectual Property

All Platform content, including logos, text, graphics, and software, is owned by or licensed to Kenehis Innovation Limited.

• Unauthorized reproduction or use is prohibited
• Vendors retain ownership of their product images and descriptions but grant Kenehis Innovation a license to display them

11. Privacy & Data Protection

Your use of the Platform is subject to our Privacy Policy, which explains how personal data is collected, used, and protected in accordance with the Nigeria Data Protection Regulation (NDPR) and applicable laws.

12. Suspension & Termination

We may suspend or terminate access to the Platform:

• For breach of these Terms
• For fraudulent or illegal activities
• To comply with legal or regulatory obligations

Termination does not affect accrued rights or obligations.

13. Disclaimer of Warranties

The Platform and services are provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted access, error-free operation, or that products will meet individual expectations beyond vendor descriptions.

14. Limitation of Liability

To the fullest extent permitted by law, Kenehis Innovation Limited shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Vendor-related disputes or product issues

Total liability shall not exceed the amount paid by the User for the relevant transaction.

15. Indemnification

You agree to indemnify and hold harmless Kenehis Innovation Limited from claims, losses, damages, or expenses arising from:

• Your misuse of the Platform
• Violation of these Terms
• Infringement of third-party rights

16. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, government actions, strikes, pandemics, or internet disruptions.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
